End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "User") and CloudCut ("CloudCut," "we," "us," or "our") governing your access to and use of the CloudCut web application available at app.cloudcut.cam, together with any related services, documentation, updates, and integrations (collectively, the "Service").

BY CREATING AN ACCOUNT, CLICKING "I AGREE," OR ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to this Agreement, and "you" refers to that entity.

1. License Grant

Subject to your compliance with this Agreement, CloudCut grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes.

2. Restrictions

You will not, and will not permit any third party to:

  1. Copy, modify, translate, or create derivative works of the Service;
  2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying structure of the Service, except to the extent such restriction is prohibited by applicable law;
  3. Rent, lease, lend, sell, sublicense, resell, or otherwise make the Service available to third parties as a service bureau or time-share;
  4. Access the Service in order to build a competitive product or service, or copy any features, functions, or graphics of the Service;
  5. Remove, alter, or obscure any proprietary notices on or in the Service;
  6. Use the Service in violation of any applicable law or regulation;
  7. Upload or transmit viruses, malicious code, or any content that is unlawful, infringing, or harmful;
  8. Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to the Service or its related systems or networks;
  9. Use automated means (bots, scrapers, crawlers) to access the Service except through documented APIs and in compliance with our published usage limits; or
  10. Share your account credentials or allow multiple individuals to use a single account, except as expressly permitted by your plan.

3. Accounts

You must provide accurate and complete registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of this Agreement.

4. Your Content

Ownership. You retain all right, title, and interest in and to the designs, CAD models, geometry, material definitions, tool libraries, settings, G-code, and other data you upload to, create in, or export from the Service ("User Content"). CloudCut does not claim ownership of User Content.

License to CloudCut. You grant CloudCut a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and otherwise use User Content solely as necessary to provide, maintain, secure, and improve the Service, and as otherwise permitted by our Privacy Policy.

Your Responsibility. You represent and warrant that you own or have the necessary rights to your User Content and that its use in connection with the Service does not infringe the rights of any third party or violate any law.

Usage Data. CloudCut may collect and use aggregated, de-identified technical and usage data (for example, feature usage, toolpath statistics, performance metrics) to operate, analyze, and improve the Service, provided such data does not identify you or your User Content.

5. Third-Party Services and Integrations

The Service may integrate with or import from third-party products and platforms, including CAD applications and application marketplaces (for example, SketchUp, Fusion 360, and Onshape). Your use of any third-party service is governed by that third party's terms and privacy policy. CloudCut is not responsible for the availability, accuracy, or content of third-party services, and we do not endorse them. Third parties may change or discontinue their APIs at any time, which may affect the Service's functionality.

6. Fees and Payment

Certain features of the Service may require payment. Pricing, billing terms, usage limits, and spending controls will be described in the Service or in a separate order form or pricing page, which are incorporated into this Agreement by reference. Except as expressly stated otherwise, all fees are non-refundable. You are responsible for all applicable taxes other than taxes on CloudCut's net income. We may change our pricing on reasonable notice; changes will apply prospectively.

7. Beta and Pre-Release Features

From time to time we may offer features, integrations, or versions of the Service labeled as beta, preview, early access, experimental, or similar ("Beta Features"). Beta Features are provided for evaluation purposes only, may be modified or discontinued at any time without notice, may contain bugs or errors, and are provided "AS IS" without warranty of any kind and excluded from any service commitments or indemnities. You use Beta Features at your own risk.

8. CNC Output, Machine Safety, and Your Responsibility

READ THIS SECTION CAREFULLY.

The Service generates toolpaths, G-code, and related machine instructions ("Output") intended for use with CNC machines and other computer-controlled equipment. Operating such equipment involves inherent risks, including risk of property damage, serious bodily injury, or death.

You acknowledge and agree that:

  1. Output is generated automatically based on the geometry, tools, materials, feeds, speeds, post-processor settings, and other parameters that you supply or select. CloudCut does not and cannot verify that these parameters are correct or appropriate for your machine, workholding, tooling, material, or environment.
  2. You are solely responsible for reviewing, simulating, and verifying all Output before running it on any machine, including but not limited to checking for collisions, rapid moves, tool lengths, clearance heights, spindle commands, feed rates, work offsets, and post-processor compatibility with your specific controller.
  3. You are solely responsible for the safe setup, operation, and supervision of your equipment, for complying with all manufacturer instructions and applicable safety regulations, and for the use of appropriate personal protective equipment.
  4. Post-processors and controller profiles are provided as a convenience and may not be compatible with every machine, firmware version, or configuration. Output should be tested at reduced speeds, in air, or in scrap material before production use.
  5. CloudCut is not responsible for any damage to machines, tooling, workpieces, or property, or for any injury to persons, arising from the use of Output.

9. Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, documentation, and all intellectual property rights therein, is and will remain the exclusive property of CloudCut and its licensors. Except for the limited license expressly granted in Section 1, no rights are granted to you, whether by implication, estoppel, or otherwise. "CloudCut," the CloudCut logo, and other CloudCut marks are trademarks of CloudCut. All other trademarks are the property of their respective owners.

10. Feedback

If you provide suggestions, ideas, bug reports, or other feedback about the Service ("Feedback"), you grant CloudCut a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the Feedback for any purpose without obligation to you.

11. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, available at cloudcut.cam/privacy-policy, which is incorporated into this Agreement by reference.

12. Availability and Modifications

We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We do not guarantee that the Service will be available at any particular time or that it will be uninterrupted or error-free. We may perform scheduled or emergency maintenance that results in downtime. We may also update this Agreement from time to time; material changes will be communicated through the Service or by email, and continued use after the effective date constitutes acceptance of the updated terms.

13. Term and Termination

This Agreement remains in effect until terminated. You may terminate at any time by closing your account. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated this Agreement. Upon termination, your license ends immediately and you must cease all use of the Service. We may delete your User Content after a reasonable period following termination; you are responsible for exporting any data you wish to retain before your account is closed. Sections 2, 4, 8, 9, 10, 14, 15, 16, 17, and 18 survive termination.

14. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDCUT AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. CLOUDCUT DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION OR ERROR, OR THAT OUTPUT WILL BE ACCURATE, COMPLETE, SAFE, OR SUITABLE FOR ANY PARTICULAR MACHINE, MATERIAL, OR APPLICATION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CLOUDCUT OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY DAMAGE TO MACHINES, TOOLING, WORKPIECES, MATERIALS, OR OTHER PROPERTY, OR FOR PERSONAL INJURY, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SERVICE OR ANY OUTPUT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CLOUDCUT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLOUDCUT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CLOUDCUT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, CloudCut's liability is limited to the fullest extent permitted by law.

16. Indemnification

You will defend, indemnify, and hold harmless CloudCut and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of the Service or any Output, including operation of any machine or equipment; (c) your violation of this Agreement; or (d) your violation of any law or the rights of any third party.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to this Agreement or the Service will be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of those courts. Notwithstanding the foregoing, CloudCut may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

TO THE EXTENT PERMITTED BY LAW, YOU AND CLOUDCUT EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY DISPUTE ARISING OUT OF THIS AGREEMENT.

18. General

Entire Agreement. This Agreement, together with the Privacy Policy and any order forms or pricing terms, constitutes the entire agreement between you and CloudCut regarding the Service and supersedes all prior agreements and understandings.

Severability. If any provision of this Agreement is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Waiver. No failure or delay in exercising any right will operate as a waiver of that right.

Assignment. You may not assign or transfer this Agreement without CloudCut's prior written consent. CloudCut may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets.

Export Compliance. You will comply with all applicable export and import control laws and regulations and will not use the Service in any country or by any person subject to U.S. sanctions or embargoes.

Force Majeure. CloudCut will not be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental action, or failures of the Internet, hosting providers, or third-party services.

Notices. Notices to CloudCut must be sent to cloudcutapp@gmail.com. Notices to you may be sent to the email address associated with your account.

No Third-Party Beneficiaries. This Agreement does not confer any rights on any third party.
